1. General

These Terms and Conditions of Trade (“Terms”) apply to all trade sales of products (“Products”) by NPMÉ (“Seller”, “we”, “us”) to professional buyers, distributors, resellers, architects, designers, and other trade customers (“Trade Partner”, “you”). By placing a trade order, you agree to these Terms. Any variation must be agreed in writing by NPMÉ.

2. Eligibility

Trade accounts are available only to verified professionals and organizations in the fields of retail, architecture, interior design, and related industries. NPMÉ reserves the right to approve, reject, or suspend any trade account at its sole discretion.

3. Orders
• All trade orders must be submitted in writing (email or purchase order).
• Minimum order quantities (MOQ) may apply.
• Orders are subject to confirmation by NPMÉ.

4. Prices and Discounts
• Trade prices are confidential and provided exclusively to approved Trade Partners.
• Discounts, if applicable, are agreed individually in writing.
• All prices are exclusive of VAT, duties, shipping, and handling charges, unless otherwise specified.

5. Payment Terms
• Unless otherwise agreed in writing, payment is due in advance prior to shipment.
• For approved accounts, extended payment terms (e.g., 30 days net) may be available.
• Late payments may result in suspension of account and/or interest charges at the statutory rate.

6. Delivery
• Delivery terms (Incoterms® 2020) will be specified in the order confirmation.
• Risk of loss or damage passes to the Trade Partner upon delivery to the carrier.
• Any customs duties, import taxes, or clearance fees are the responsibility of the Trade Partner.

7. Returns
• All trade sales are final.
• Returns are only accepted in the case of defective or incorrect Products, reported within 7 days of delivery.
• Unauthorized returns will not be accepted.

8. Warranty
• NPMÉ warrants that the Products conform to their description and are free from material defects for 12 months from delivery.
• This warranty does not cover misuse, improper installation, modifications, or normal wear and tear.

9. Intellectual Property and Branding
• All intellectual property rights, including but not limited to designs, trademarks, photography, and artworks, remain the property of NPMÉ.
• Trade Partners are not authorized to reproduce, modify, or otherwise use NPMÉ branding without prior written approval.
• Marketing materials provided by NPMÉ must be used in accordance with brand guidelines.

10. Exclusivity
• Trade agreements do not grant exclusivity unless explicitly stated in writing.
• NPMÉ reserves the right to appoint multiple distributors, retailers, or partners in any given territory.

11. Limitation of Liability

To the fullest extent permitted by law, NPMÉ shall not be liable for any indirect, incidental, or consequential damages. Our total liability shall not exceed the net purchase price of the Products supplied under the relevant order.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of [Your Country]. Any disputes shall be subject to the exclusive jurisdiction of the courts of [Your City/Country].

13. Confidentiality

All trade pricing, discounts, and terms are strictly confidential and must not be disclosed to third parties without NPMÉ’s prior written consent.
